These Terms of Service (“Terms”) govern your access to and use of the Leadnex platform and related services (the “Services”), provided by GIT Consulting and Services Inc. (“Leadnex”, “we”, “us”). By creating an account or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization.

1. The Services

Leadnex provides AI-powered conversational agents that businesses connect to channels such as WhatsApp, Facebook Messenger, and the web to engage their customers. You are responsible for the content, knowledge, and catalog you upload and for how your agent communicates with your customers.

2. Accounts

  • You must provide accurate information and keep your credentials secure.
  • You are responsible for all activity under your account and workspaces.
  • You must be at least 18 years old and legally able to enter into these Terms.

3. Acceptable use

You agree not to use the Services to:

  • Send spam, or message people without a lawful basis or required consent.
  • Violate the rules of any connected platform, including the Meta and WhatsApp Business policies and Twilio’s terms.
  • Share unlawful, deceptive, harassing, hateful, or infringing content.
  • Attempt to reverse engineer, disrupt, overload, or gain unauthorized access to the Services.
  • Use the Services for regulated advice (legal, medical, financial) without appropriate authorization and disclaimers.

You are responsible for complying with all laws applicable to your messaging, including consent, marketing, and data-protection laws in the regions where you operate.

4. Third-party platforms

The Services integrate with third-party platforms (e.g., Meta, Twilio, payment and AI providers). Your use of those platforms is governed by their own terms, and their availability is outside our control. You are responsible for maintaining your own accounts and approvals (such as Meta app review) where required.

5. Plans, billing & trials

  • Paid plans are billed in advance on a recurring basis until cancelled. Fees and usage limits are shown at sign-up.
  • Trials and free allowances may be limited and may change. Usage over plan limits may be throttled or charged.
  • Except where required by law, fees are non-refundable. You can cancel anytime; access continues until the end of the paid period.

6. Your content & license

You retain ownership of the content you provide. You grant us a limited license to host and process it solely to provide the Services. You represent that you have the rights to the content and that it does not infringe others’ rights.

7. Intellectual property

The Services, including all software and branding, are owned by GIT Consulting and Services Inc. and protected by law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Services.

8. Disclaimers

The Services are provided “as is” without warranties of any kind. AI-generated responses may be inaccurate; you are responsible for reviewing and supervising your agent’s behavior. We do not guarantee uninterrupted or error-free operation.

9. Limitation of liability

To the maximum extent permitted by law, Leadnex will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total liability for any claim is limited to the amounts you paid to us for the Services in the 12 months before the claim.

10. Indemnity

You agree to indemnify Leadnex against claims arising from your content, your use of the Services, or your violation of these Terms or applicable law.

11. Suspension & termination

We may suspend or terminate access for violations of these Terms or applicable platform policies. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

12. Governing law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws rules, except where mandatory local consumer law applies to you.

13. Changes

We may update these Terms; material changes will be notified, and continued use after changes take effect constitutes acceptance.
